目前，关于网络店铺的法律属性、权利归属及转让效力认定等方面，主要存在物权规制和债权规制的分歧。物权规制路径难辞物权客体有体性理论的质疑，忽视平台经营者数据权益；而债权规制路径存在混淆网络店铺价值来源、产生权益归属悖论等局限。鉴于此，借鉴数据产权结构性分置制度提出“权属二分”修正的物权规制路径，明确平台经营者和网络店铺经营者各自的权属范围和处分权限，构建统一的网络店铺转让平台，制定转让公示、轨迹查询、注册信息同步变更的流转制度，将网络店铺流转纳入产权分置调整的物权体系中。

At present,there are mainly differences between property rights regulation and creditor's rights regulation regarding the legal attributes,ownership of rights,and determination of transfer effectiveness of online stores. The path of property rights regulation raises doubts about the theory of the embodied nature of property rights objects and neglects the data rights of platform operators;the path of debt regulation has limitations such as confusing the source of value of online stores,and thus producing the paradox of rights and interests attribution. Based on this,we propose the revised property regulation path of“ownership bifurcation”by drawing on the structural disposition system of data property rights,clarifying the scope of ownership and disposal authority of platform operators and online store operators,constructing a unified online store transfer platform,formulating the transfer publicity,track query,and synchronous change of registration information flow system,and integrating the flow of online stores into the adjustment of property rights bifurcation. The transfer of online shops is incorporated into the property rights system of property rights division and adjustment.
